This is a working draft for review. It sets out how we intend the programme to run, in plain English, so the shape of it can be argued about before a solicitor turns it into the binding version. Until that happens, treat it as a description of our intentions rather than as the contract.
Throughout, “we” and “us” means Review Wizard, “you” means an approved affiliate, and a “business” means a business you sign up to Review Wizard.
1.Joining, and being approved
Anyone over 18 can apply. Every application is read by a person, and we can say no without giving a reason — usually it's because we can't tell how you'd introduce Review Wizard, or because the businesses you describe aren't ones we can serve well.
You join as yourself or as your company; either way one person is accountable for the account. Don't share your login, and don't run more than one affiliate account without asking us first — duplicate accounts are the usual way attribution disputes start.
You're an independent contractor. Nothing in the programme makes you an employee, agent or partner of Review Wizard, and you look after your own tax.
2.What counts as a business you signed up
Attribution is the business record. If the business was created through your own affiliate portal, and that business goes on to claim the page and subscribe, it's yours and it stays yours. There is no cookie, no tracking link and no attribution window to worry about — the record either came from your portal or it didn't.
First touch wins. If a business already exists in Review Wizard, or has already been set up by someone else, creating a second record for it doesn't transfer it to you.
What will get an account closed:
- Setting up businesses that haven't agreed to it, to bank the record in case they subscribe later.
- Signing up businesses you own or control, or arranging for someone to sign yours up, to claim commission on your own subscription.
- Bidding on “Review Wizard” or close variants of it in paid search, or otherwise passing yourself off as us.
- Cookie stuffing, typosquatting, unsolicited bulk email, or anything else that would embarrass both of us if the business found out how they got here.
3.What you earn
Commission is a share of the subscription revenue a business you signed up actually pays us:
- Year one — 50% of that business's subscription.
- Year two — 30%.
- Year three onwards — 10%, for as long as they stay subscribed.
The clock runs per business, from that business's first payment. It doesn't reset if they pause and come back, and it doesn't restart if they change plan.
We can change the rates, but only for businesses signed up after the change, and we'll tell you before it takes effect. A business you've already signed up keeps the ladder it was signed up on.
Commission is calculated on what we collect, excluding VAT and excluding any payment-processing fees, discounts or credits applied to that business's invoice.
4.Getting paid
Commission accrues as each invoice is collected, and is paid monthly in arrears — so a month's earnings are paid out in the month after they're earned, once the payments behind them have cleared and the refund window has passed.
Payouts are made manually, by bank transfer or PayPal, to the details on your account. Keep them current; we can't chase a payment that went to a closed account.
There is a minimum payout threshold — the figure is still to be confirmed, and will be shown in your portal before it applies. Balances below it roll over to the next month rather than disappearing.
Your ledger in the portal is the record of what's accrued, paid and outstanding. If you think it's wrong, tell us within 60 days of the entry and we'll go through it with you.
5.Clawbacks
If we refund a payment, or lose one to a chargeback, the commission on it comes back off your balance. The same applies to payments we later find were fraudulent, and to any business signed up in breach of section 2.
Clawbacks are taken from your next payout. If your balance won't cover it, the shortfall carries forward against future earnings; we'll only ask you to repay money already sent in cases of fraud.
6.What you can’t offer on our behalf
You can describe Review Wizard, demonstrate it, and set a page up for a business. You cannot commit us to anything. In particular, you must not offer discounts, free periods, extended trials, refunds, custom pricing, contractual terms, or any promise about features or dates we haven't published.
If a business needs something we don't offer as standard, send them to us and we'll deal with it directly. An offer you make that we haven't agreed isn't binding on us, and honouring it can be deducted from your commission.
Don't claim results we haven't claimed. Review Wizard helps genuine customers write and post their own reviews; it does not write or post reviews for them, and it can't promise anyone a rating.
7.VAT and invoicing
All commission figures in your portal are exclusive of VAT, and are calculated on subscription revenue net of VAT.
If you're VAT-registered, tell us your number and add VAT to your commission at the applicable rate; we'll pay it on top. If you're not, we pay the commission as shown. We'll usually self-bill and send you the statement, if you'd rather not raise an invoice each month.
8.Suspension and termination
Either of us can leave the programme at any time, with no notice required. Tell us, or close your account in the portal.
We can suspend an account while we look into something that looks like a breach, and payouts pause while a suspension is live. If the breach is made out, we can close the account and withhold commission connected to it.
If you leave, or we close your account for any reason other than fraud or a serious breach, we pay out what you've already earned on the next normal payout run. Commission on future months stops.
9.Data protection and consent
You must have the business's permission before you set a page up for them. It doesn't need to be a signed form — a conversation is fine — but they must know it's happening and agree to it. Setting pages up for businesses that haven't asked is both a breach of these terms and, where you've put their details into our system, a data-protection problem for you as much as for us.
Only enter business contact details you were given for this purpose. Don't scrape them, don't buy lists, and don't use anything you learn through the programme — a business's details, their status, their reviews — for anything other than introducing and supporting Review Wizard.
We each handle personal data as our own controller, and each of us keeps to UK GDPR in doing so. Our own privacy practices are described on the main Review Wizard site.
10.Changes, and how to ask about any of this
We'll update these terms from time to time, and we'll tell you about anything material before it applies. Rate changes work as described in section 3 — never retrospectively.
These terms are governed by the law of England and Wales. If something here doesn't make sense, or you think it's unfair, say so — it's a draft, and that's what a draft is for.
